Supply of Services

This document sets out the framework under which Oceanic Risk Management delivers advisory and resilience services to its clients. It governs all services unless a separate written agreement expressly overrides specific provisions.

Engagement of our services constitutes acceptance of these terms.

  • Nature of Our Engagement

    Oceanic Risk Management provides independent risk advisory and operational resilience support. Our core services include:

    • Comprehensive Risk Auditing
    • Business Continuity Planning
    • Crisis Recovery Support

    All services are advisory in nature. We provide analysis, recommendations, and structured planning support. Implementation decisions remain the responsibility of the client.

    Website descriptions are illustrative only and do not define contractual scope.

  • Engagement Formation

    Each engagement is confirmed through a written proposal, scope document, or formal confirmation. That document will outline:

    • Objectives and deliverables
    • Expected timelines
    • Commercial terms
    • Reporting structure

    No binding service obligation exists until scope and fees are agreed in writing.

  • Information and Access

    Effective delivery depends on accurate and timely information.

    The client agrees to:

    • Provide complete and accurate operational data
    • Disclose relevant dependencies, exposures, and constraints
    • Ensure access to appropriate personnel
    • Inform us of material changes that may affect risk assessments

    We are entitled to rely on information provided without independent verification unless otherwise agreed.

  • Advisory Boundaries

    Our work is designed to support informed decision making. It does not:

    • Replace executive oversight
    • Guarantee regulatory compliance
    • Eliminate operational risk
    • Ensure uninterrupted business continuity

    Risk management reduces exposure but does not remove uncertainty. Responsibility for final decisions and implementation remains with the client.

  • Commercial Terms

    Fees, billing schedules, and payment timelines will be defined in the engagement documentation.

    Unless otherwise agreed:

    • Fees exclude applicable taxes
    • Invoices are payable within the stated timeframe
    • Work may be paused where payments are materially overdue

    Where scope expands beyond original assumptions, commercial terms may be adjusted accordingly.

  • Confidential Handling of Information

    Both parties may exchange sensitive operational or financial information during the engagement.

    Each party agrees to:

    • Protect confidential information using reasonable safeguards
    • Limit disclosure internally on a need-to-know basis
    • Avoid unauthorised disclosure to third parties

    Confidentiality obligations do not apply to information that is publicly available or lawfully obtained from other sources.

  • Ownership and Use of Work Product

    Upon payment in full, the client may use final reports and deliverables internally for business operations. Deliverables may not be:

    • Resold
    • Publicly distributed
    • Used for commercial replication of our methodologies
  • Limitation of Exposure

    To the maximum extent permitted under Hong Kong law:

    • Liability is limited to fees paid for the specific engagement giving rise to the claim
    • We are not responsible for indirect, consequential, or economic losses
    • We are not liable for losses resulting from incomplete or inaccurate client information
    • We are not liable for external events beyond reasonable control

    Nothing in this section excludes liability where exclusion is prohibited by law.

  • Suspension or Withdrawal

    We reserve the right to suspend or withdraw services where:

    • Required information is withheld
    • There is material non-payment
    • Legal or ethical conflicts arise
    • Continued performance becomes impractical or unlawful

    Fees for work completed up to the date of suspension remain payable.

  • Unforeseen Events

    Neither party shall be liable for delay or failure resulting from circumstances beyond reasonable control, including natural disasters, regulatory changes, infrastructure failures, or major disruptions.

  • Governing Law

    This Supply of Services is governed by the laws of Hong Kong. Any dispute arising from the provision of services shall be subject to the jurisdiction of the courts of Hong Kong.
